10. Sell-Off Period; Repurchase of Inventory(a) Sell-Off Period. Upon termination or expiration of this Agreement, Distributor shall have the right to sell off its remaining inventory of Products and spare parts on a non-exclusive basis for so long as such inventory exists; provided, however, that Distributor shall comply with all terms and conditions of this Agreement, including those that restrict Distributor’s activities. Distributor’s rights under this Article 10 (a) are expressly subject to Supplier’s option to repurchase Distributor’s inventory of Products and spare parts as set forth in Article 10 (b) hereof.
