2.5 Non-fulfilment of NTP Conditions Precedent<br><br>In the event that the NTP Conditions Precedent have not all been fulfilled (or waived) by the longstop date for the Notice to Proceed set out in schedule 1 (Commercial Terms) or such other date as may be agreed between the Parties, the Employer may terminate this Contract by giving a written notice of termination to the Contractor, in which case each of the Parties shall be discharged from any further obligations under this Contract and the Employer shall not be required to make any payment whatsoever to the Contractor.<br><br>2.6 Limited Notice to Proceed<br><br>(a) Notwithstanding the provisions of Clauses 2.2, 2.3 and 2.4, the Employer may, on or after the date of signature of this Contract, deliver to the Contractor a notice instructing the Contractor to proceed with a certain part of the Works set forth in such notice (a "Limited Notice to Proceed") at a cost agreed between the Parties.<br><br>(b) Prior to issuance of the Limited Notice to Proceed, the Contractor shall, at the request of the Employer, submit a proposal detailing:<br>(i) the reasonable additional costs which will be incurred in relation to such Works; (ii) the proposed payment arrangements and proposed payment security<br>arrangements;<br><br>(iii) how such payment will be credited against the Contract Price;<br><br>(iv) details of the extent to which any such costs are additional cost incurred as a consequence of dealing with such work under a Limited Notice to Proceed;<br><br>(v) the impact on the Programme of carrying out such Works; and<br><br>(vi) the date, which must be a reasonable time after delivery of the proposal, by which the Employer must confirm whether or not to proceed with such Works on the basis of the Contractor's proposals, and the date by which the full Notice to Proceed must be given in order to achieve the stated impact on the Programme.<br><br>(c) Upon receipt of the Limited Notice to Proceed, the Contractor shall carry out the Works requested under the Limited Notice to Proceed, and the Employer shall make payment in accordance with the agreed payment arrangement.<br><br>(d) The Contractor shall perform the Works specified in the Limited Notice to Proceed in accordance with the relevant clauses of this Contract (which shall be in full force and effect for this purpose).<br><br>(e) Once the NTP Conditions Precedent have been fulfilled or waived (as the case may be), the Employer shall deliver to the Contractor the Notice to Proceed with respect to the remaining Works.
