INTELLECTUAL PROPERTY

Subject to the terms and conditions of this Letter, Avantor hereby grants to Distributor during the Term a revocable, royalty-free, limited, non-exclusive sub-license, without right to further sublicense, to use the Avantor®, Avantor Performance Materials™, J.T. Baker® and Macron Fine Chemicals® trademarks (the “Trademarks”), as allotted to it for the Territory solely in connection with its distribution of the Products hereunder. Avantor has been duly licensed to grant this sub-license to the Distributor by Avantor Performance Materials, Inc. (now known as Avantor Performance Materials, LLC), the duly registered owner of the Trademarks. Distributor shall use or display only those promotional items, advertising, or marketing materials in connection with the Trademarks that have been provided by Avantor to Distributor for such use or that have been pre-approved in writing by Avantor.
