If at any time any provision of this AGREEMENT or any part thereof is or becomes invalid or unenforceable, or if there is an omission in this AGREEMENT, this shall not affect or impair the validity or enforceability of the re-maining provisions. The PARTIES agree to replace the invalid or unenforceable provision by a valid and en-forceable provision or, in case of an omission, add such a provision which best reflects the PARTIES’ original in-tention and to the extent possible achieves the same economic result.
