ARTICLE 11
COMING INTO FORCE AND
PERIOD OF VALIDITY OF THE AGREEMENT

This Agreement is concluded for 5 (five) years of time from signed (“Effective Date”) and and shall thereafter be extendable in accordance with the mutual agreement of the PARTIES.

ARTICLE 12
TERMINATION OF THE AGREEMENT

1. This Agreement may be terminated for the first time at the end of the contract period as specified in 11.1.

2. This Agreement can be terminated upon written agreement from the PARTIES and/or upon the occurance of important reasons for giving termination notice are in particular:

a. If the other contractual party culpably violates essential obligations of this Agreement, or falls behind with the fulfillment of contractual obligations and despite a letter of reminder refrains from stopping the infringement of the agreement or the delay within sixty (60) days from the letter of reminder.

b. If the other party declares itself bankrupt, becomes insolvent or goes into liquidation.



c. If an agreement on manufacturer selling prices as stipulated in Appendix 1 hereof cannot be reached.

d. If the Marketing Approval is suspended or expires officially.

第12條
協定的終止

1. 本協定可在合同期結束時首次終止，如 11.1 中規定。

2. 本協定可在締約方書面同意和/或出現發出終止通知的重要理由時終止：

a. 如果另一方違反本協定的基本義務，或拖欠履行合同義務，並且儘管有催記函，但不得停止違反本協定或延遲在提醒信後六十 （60） 天內。

b. 如果另一方宣佈破產、資不抵債或進行清算。

c. 如果無法就附錄 1 中規定的製造商銷售價格達成協議。

d. 如果行銷批准暫停或正式到期。

第十二條
協定的終止
一。本協定可在第11.1條規定的契约期結束時首次終止。
2.本協定可在雙方書面同意和/或出現重要原因發出終止通知時終止，特別是：
A.如果另一契约方嚴重違反本協定的基本義務，或未能履行契约義務，且儘管發出了催告函，但在發出催告函後六十（60）天內未能停止違反本協定或延遲履行。
B.對方宣告破產、資不抵債或進入清算。
C.如果不能就本協定附錄1中規定的製造商銷售價格達成協議。
d.如果市場準予被暫停或正式到期。
