10.11. This Agreement does not in any way bind the Parties to enter into a business relationship or any other transaction with each other. Unless the Parties specifically agree otherwise in writing, neither Party will be under any legal obligation of any kind whatsoever by virtue of this Agreement with respect to the Purpose, except for the matters specifically agreed to in this Agreement. This Agreement does not create any agency or partnership relationship between the Parties or authorize a Party to use the other Party’s name or trademarks. Subject to the obligations of this Agreement, neither Party is precluded from independently pursuing any activities similar to or in competition with the Purpose.
