The Company shall cooperate with Abbott in internal and external audits required by Abbott, and shall allow Abbott to audit the Company’s nonproprietary and non-confidential records, systems and procedures, as they pertain to Abbott’s import process or the services provided hereunder. Such audits shall be at reasonable times and with reasonable notice to the Company.
