Re: ANSYS Software Licensing
Dear Mr. Lin,
As you are aware, ANSYS recently contacted JEDI Energy Technology Co., Ltd. (“JEDI”) about its use of ANSYS Maxwell 3D at its Taoyuan location prior to the date of this letter (the “Subject Use”). We understand that JEDI is a subsidiary of Chung- Hsin Electric and Machinery Manufacturing Corporation (“CHEM”).
This letter confirms that ANSYS and CHEM have agreed that in consideration of CHEM’s agreement to issue a purchase order to ANSYS on or before September 25, 2015 for the licenses and maintenance indicated below in an amount equal to (and to pay to ANSYS on such purchase order within 30 days of submission of such purchase order an amount equal to) US$ 90,000 (excluding 5% VAT). ANSYS will release and discharge JEDI, CHEM, and their officers, directors, employees, successors and assigns (“ANSYS Releases”) from any and all claims and damages that ANSYS may have relating to the Subject Use. For clarity, this release relates only to the Subject Use and any other use of ANSYS software licenses or violations of ANSYS intellectual property by ANSYS Releases (whether past, present or future) are not covered by the terms of this letter and ANSYS reserves the right to take any allowable actions with respect to such uses and/or violations of ANSYS intellectual property.
The Purchase Order shall be for the purchase of one (1) task of ANSYS Maxwell 3D Paid- Up and one (1) year of TECS (i.e. maintenance and support) on such license. The term of the TECS referenced above shall be from September 25, 2015 to September 24, 2016.
