Within forty five (45) days of receipt of an order so made, the Manufacturer shall indicate its

acceptance, in whole or part, or rejection of such order in writing to the Distributor. The

failure of the Manufacturer to indicate its rejection or acceptance within the said seven 7 days

or receipt of an order shall be deemed to constitute acceptance.
