12.4 Unless otherwise agreed in this Agreement, if this Agreement is terminated prior to the expiry date of this Agreement, MOCAP agrees to refund DLVN Unallocated Payments together with a penalty amount equivalent to the Unallocated Payment within thirty (30) days from the date on which the Parties sign the Finalisation Report.
