Intellectual property held by buyer

Intellectual property held by buyer and seller prior to this deed being signed and formalized shall remain the property of each respective party including names trademarks and logos. Where such intellectual property is used to market the product in the agreed territory its use shall not be withheld by either party. Where such Intellectual property is used jointly, both parties will agree to its use. Where one party has registered intellectual property such as labels, trademarks and or names on behalf of the joint interests of both partiessuch Intellectual property will be considered to be jointly held for the life of this contract. If this contract ceases for any reason all jointly developed IP will be apportioned by mutual agreement.
