Commercial Requirements for Equipment Purchases
Dear Supplier,
This document stipulates OSRAM Opto Semiconductors’ requirements for quotations for equipment purchases. Your quotations must reflect the stipulations put forward in this document and complete information must be provided in order to be considered during the selection process. In case of questions, please check with your respective contact.
1. Shipment and packing:
For all equipments, please quote FCA Packing included and indicate the Handover Location in your quotation.
2. Terms of payment
80 % upon complete and defect free delivery
20 % upon signed OSRAM OS Final Acceptance Report
3. Data for TCO calculation.
Together with the quote the following information must be provided for typical operation and idle mode. All these figures will be considered in a Total Cost of Ownership calculation.
3.1. Power Consumption in kW/h
3.2. Media Consumption, e.g. DI (Deionized) Water, Nitrogen, Oxygen, Helium, Argon, Forming Gas, Propane, Compressed Air, Vacuum, etc. Please provide all media consumption with the respective consumption values and the unit of measure.
3.3. Floor space inclusive space needed for operation and necessary access space for maintenance.m2]
3.4. Consumables / Wear and Tear Parts: Please provide a list of consumables, their consumption and associated pricing under regular operation per year.
3.5. Spare Parts: Please provide a list of spare-parts and associated pricing for maintenance and repair under regular operation per year.
3.6. Machine Performance: Supplier must provide all relevant performance data, e.g. Uptime, MTBF, MTBA, MTTR, MTTA, UPH/WPH, etc. This values must be clearly defined in the quotation.
4. Installation
The system installation and start up is included in the system price and will be performed by supplier with specially trained and qualified personnel. OSRAM OS has the right to verify the qualification level and ask for replacement in the case supplier’s personnel does not meet the required qualification level. Supplier will replace such personnel without delay and at no extra charge.

8. Software
Software updates will be delivered to OSRAM OS at no cost and without request immediately upon becoming available at supplier. Updates are defined as necessary improvement to the software, i.e. bug fixes.
Software upgrades are reported to OSRAM OS without request and without undue delay. Upgrades are defined as additional functionality not needed to run the system.
Supplier guarantees to support the software for a minimum of ten (10) years after FINAL ACCEPTANCE of the machine. If supplier cannot support the software during this period, he will provide the source code to OSRAM OS immediately and free of charge. OSRAM confirms to use this source code to only support the own systems and operations.
9. Late delivery penalty
In case of a late delivery not caused by OSRAM OS, a penalty of 0.5% of the order value per week of delay is agreed, limited to 5% of the order value. The penalty is due the first time at the beginning of the 7th day after the agreed delivery date and thereafter every other 7th day, without requiring a reminder by OSRAM OS. This penalty is in addition to any other rights and remedies OSRAM OS may have due to the late delivery of supplier.
10. Acceptance delay penalty
If the supplier fails to perform the FINAL ACCEPTANCE on the agreed date, a penalty of 0.5% of the order value per week of delay is agreed, limited to 5% of the order value. The penalty is due the first time at the beginning of the 7th day after the agreed acceptance date and thereafter every other 7th day, without requiring a reminder by OSRAM OS, unless the delay is caused by OSRAM OS. This penalty is in addition to any other rights and remedies OSRAM OS may have due to the delayed acceptance.
11. Warranty
The warranty period is 12 months unless otherwise stated in the maintenance or tool specification, starting at the date the FINAL ACCEPTANCE is confirmed by OSRAM OS according to OSRAM OS FINAL ACCEPTANCE REPORT.
If during the warranty period the specified performance values are not achieved, OSRAM may extend the warranty period by one month for each month of non-performance regarding individual criteria, limited to 12 months extension. If, after the warranty period or the extended warranty period, as the case may be, supplier is still not able to meet the specified values, OSRAM shall have the right to claim from supplier, at its own discretion, either a compensation for the non-compliance or the return of the system at supplier’s risk and cost against reimbursement of the purchase price.
